Terms of Use

Last updated October 25, 2026

These Terms of Use ("Terms") are an agreement between Clear Transfer, Inc. ("Clear Transfer", "we", "us") and the business that opens an account or uses our website, customer portal, payee onboarding pages or API (together, the "Service") ("you").

By applying for an account, accepting an invitation, completing a payee onboarding link or otherwise using the Service, you agree to these Terms and to our Privacy Policy. The person accepting these Terms confirms that they are authorized to bind the business. If you do not agree, do not use the Service.

1. The Service

Clear Transfer lets U.S. businesses send U.S. dollar payments to other U.S. businesses over the RTP and FedNow instant payment networks, with same-day ACH, ACH or wire as a fallback you choose, and lets them be paid through invoices, pay links and a receiving account. It includes business verification, sanctions screening, fraud checks, approvals, remittance information, exports and accounting integrations.

Clear Transfer is a financial technology company, not a bank, and is not FDIC-insured. Payments are processed and settled by regulated banks through our payment and bank-account verification providers. Your use of bank accounts and payment networks is also subject to the rules of those networks and the terms of your own bank.

2. Eligibility and verification

The Service is only for businesses organized in the United States, acting for business purposes, with a U.S. bank account. It may not be used for personal, family or household purposes. Individuals using the Service must be at least 18.

You must give us complete and accurate information about your business, its owners and controllers and its bank accounts, keep it up to date, and help us verify it, including by having your owners and controllers complete identity verification. We may verify information with third parties, request more information at any time, and decline or close an account in our discretion, including where we cannot verify it or the law requires us to.

3. Your users, credentials and security procedures

You decide who in your business may use the Service and with what role (viewer, initiator, approver, admin or owner). You are responsible for all activity under your account, including by your users and through your API keys, and for keeping passwords, two-factor devices and API keys secure. Tell us immediately if you suspect unauthorized access.

You agree that the following together are a commercially reasonable security procedure for authenticating your payment instructions: sign-in with a password and two-factor authentication, or single sign-on through the identity provider your owner connects, or an API key issued to your account (within the scopes, expiry and network addresses you set for it), the roles you assign, and the approval policy you set. A payment instruction we receive and accept in compliance with that security procedure is effective as your instruction, whether or not you actually authorized it, to the extent the law allows. We recommend that you set an approval policy for larger payments.

Single sign-on. If your owner enables single sign-on, you are responsible for your identity provider: anyone it authenticates with a verified email address at your allowed domain can sign in, and new users are created with the default role you choose. Where your identity provider does not assert multi-factor authentication, our authenticator step still applies.

4. Payments

Your instructions. You are responsible for the accuracy of every payment instruction, including the recipient, the recipient's bank account and the amount. Payments are made to the account identified in the instruction, even if it names a different beneficiary. Always confirm changed or new payment details directly with your payee through a channel you already trust; fraudsters often impersonate vendors by email.

Instant payments are final. Once a payment settles on the RTP or FedNow network it cannot be recalled, cancelled or reversed by Clear Transfer. Each instruction that will travel over an instant network must confirm that you understand this (confirm_irrevocable in the API; a checkbox in the portal); without it the payment is refused.

Return requests. You may ask us to seek the return of a settled payment, giving a reason. We record the request and our operations team submits it to the payment provider or pursues it with the recipient's bank; users other than owners and admins go through your approval policy first. A return is at the recipient's or its bank's discretion and is not guaranteed, and we will tell you the outcome.

Amounts and rails. Each payment must be between $1,000 and $10,000,000, and within any lower limit set by the recipient's bank or a payment network. We choose RTP or FedNow based on what the recipient's bank can receive. If neither fits, we refuse the payment unless you have chosen a fallback (same-day ACH, ACH or wire) as your business default or for that payment; a fallback payment is not final until it settles on its network and may be returned under that network's rules.

Our right to hold or refuse. We may delay, hold for review or refuse any payment, and we will not send a payment that fails a required check, including sanctions screening, fraud assessment, verification of the parties, your payment limits, your available balance or your approval policy. We are not responsible for delays or refusals that we make in good faith to comply with law or to prevent fraud or loss.

Funding. Payments and fees are paid from your Clear Transfer funding account, and you must have sufficient available funds for each payment and its fee. You fund it by ACH debit from a bank account you have linked. Before the first debit from an account an owner or admin accepts our debit authorization in the portal; we record the authorization text, its version, the time, the user, and the IP address and browser it was accepted from, and you may revoke it at any time (deposits already in flight are not recalled). If you enable auto top-up, you authorize us to debit the linked account you choose whenever your balance falls below the floor you set, up to the amount and daily number of times you set. Deposits are subject to per-deposit and daily limits shown in the portal. A payment the network or a bank rejects is reported to you as failed; no money moves and no fee is charged.

Records and errors. The status of each payment is shown in the portal and reported by webhook, and you can download receipts, remittance advices and activity, statement and reconciliation exports. Review your activity regularly and notify us promptly of any error or payment you did not authorize.

5. Payees

You may invite a business that is not a Clear Transfer customer (a "payee") to receive payments from you. You confirm that you have a genuine business relationship with each payee and that the details you enter for it are accurate. Only you can pay the payees you add.

A payee that completes an invitation agrees to these Terms and our Privacy Policy as they apply to receiving payments, certifies its Form W-9, and confirms that it is authorized to add the bank account it provides. Payees pay no fees.

6. Invoices, pay links and your receiving account

You may create invoices and send pay links to your customers, and we may open a receiving account (a routing and account number) in your business's name with our payment provider so that any bank can push payments to you. You are responsible for the content of each invoice, for sending pay links only to the customer it concerns, and for the accuracy of the customer details you enter.

A pay link shows the invoice, your business name and your payment options to anyone who opens it, until you void the invoice or send a new link; sending again stops earlier links from working. Credits that arrive on your receiving account are matched to your invoices by the reference the payer quotes; unmatched credits are reviewed by our team. Where the payer's bank and our provider support it, a pay link can present a Request for Payment that the payer approves in its own bank; its bank account details are forwarded to our provider and are not stored by us. A payer that is a Clear Transfer customer pays through its own account under these Terms. Receiving money is free.

7. Fees

The sender pays a flat fee for each payment, in addition to the payment amount. The recipient always receives the full amount sent.

  • Payments of $1,000 – $100,000: $10 per payment.
  • Payments of $100,000.01 – $1,000,000: $25 per payment.
  • Payments of $1,000,000.01 – $10,000,000: $50 per payment.

The same fee applies whichever network carries the payment. The fee is charged when a payment settles; there is no fee for a payment that fails. You authorize us to collect fees from your Clear Transfer funding account. Receiving payments, invoices, pay links, the receiving account, deposits and exports carry no fee. We may change our fees by giving you at least 30 days' notice; the new fees apply to payments made after the change takes effect. The schedule in force is published at Pricing and by our API.

8. Prohibited uses

You may not use the Service:

  • for any unlawful purpose, or to pay for unlawful goods or services;
  • for or on behalf of any person or country subject to U.S. sanctions;
  • to move money for third parties or to operate as a money transmitter or other money services business, unless we have agreed in writing;
  • for personal, family or household payments;
  • to split payments to avoid limits, approvals or reporting requirements;
  • to provide false information, impersonate anyone, or pay accounts you know or suspect are not controlled by the intended recipient;
  • to interfere with, probe or overload the Service, or to access it other than through our portal and documented API.

9. Compliance and information requests

We are required to monitor payments and may ask you for information about your business, your payments and your counterparties. You agree to provide it promptly. We may report activity to government authorities as the law requires and may be prohibited from telling you that we have done so. We may suspend the Service while we review activity.

10. Third-party services

Some features rely on third parties, including Plaid for linking bank accounts and verifying identities, our payment and bank-account verification providers and the regulated banks they work with for processing and settling payments, holding your funding and receiving accounts and collecting payee bank accounts, Middesk for business verification, your identity provider if you enable single sign-on, and Merge for accounting integrations. Your use of those features may be subject to their terms. By linking an account with Plaid you agree to the Plaid End User Privacy Policy. We are not responsible for services we do not control.

11. API and webhooks

If you use our API, you must follow our published documentation and rate limits, keep API keys and webhook signing secrets confidential, verify webhook signatures, and use a unique idempotency key for each payment. We may change or retire API features with reasonable notice, except where a change is needed for security or legal reasons.

12. Electronic communications

You agree to receive these Terms, notices, disclosures and other communications from us electronically, in the portal, by webhook or by email to your account owner, admins and users, and that electronic communications satisfy any requirement that they be in writing. We send email notifications about payments, approvals, low balances, invoices and account security; each user can turn optional kinds off in the portal, but essential notices (such as security and legal notices) cannot be disabled. Keep your contact information current.

13. Our intellectual property

We and our licensors own the Service. We give you a limited, non-exclusive, non-transferable right to use it for your internal business purposes under these Terms. You may not copy, modify, reverse engineer, resell or build a competing service from it. If you send us feedback, we may use it without obligation to you.

14. Suspension and termination

You may close your account at any time by contacting us, after any pending payments have completed. We may suspend or close your account, or refuse any payment, if we believe you have breached these Terms, if required by law, by a bank or payment provider we work with or by a payment network, or to prevent fraud or loss, with notice where the law allows. Sections that by their nature should survive termination, including fees owed, indemnification, limitation of liability and governing law, will survive.

15. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service or the payment networks will be uninterrupted or error-free.

16. Limitation of liability

To the fullest extent permitted by law, Clear Transfer will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability arising out of or relating to the Service or these Terms will not exceed the greater of the fees you paid us in the twelve months before the event giving rise to the claim and one hundred dollars. Nothing in these Terms limits liability that cannot be limited under applicable law, including any liability that cannot be varied by agreement under Article 4A of the Uniform Commercial Code.

17. Indemnification

You will defend, indemnify and hold harmless Clear Transfer and the banks and service providers it works with from claims, losses and expenses, including reasonable attorneys' fees, arising from your payment instructions, your breach of these Terms, your violation of law or the rights of others, or information you provide, except to the extent caused by our gross negligence or willful misconduct.

18. Governing law and disputes

These Terms are governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law rules. Payments are also governed by the rules of the payment network used and, where applicable, Article 4A of the Uniform Commercial Code as adopted in Michigan and Subpart C of the Federal Reserve's Regulation J. Any dispute will be brought exclusively in the state courts located in Oakland County, Michigan or the United States District Court for the Eastern District of Michigan, and each party consents to their jurisdiction.

19. General

We may change these Terms. We will post the updated Terms here and, for material changes, notify your account owner by email at least 30 days before they take effect, unless a sooner change is required by law. Continuing to use the Service after that means you accept the change.

These Terms and any other agreement you sign with us are the entire agreement about the Service. If any part is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for failures caused by events beyond our reasonable control, including outages of payment networks, banks or internet providers. Our failure to enforce a provision is not a waiver.
